TAXES AND FEES:

You agree to pay, when due, all taxes (including personal property tax, fines and penalties) relating to this Agreement or the Equipment. You also agree to pay any filing fees prescribed by the Uniform Commercial Code (“UCC”) or other law, and reimburse Us for all costs and expenses involved in documenting and servicing this Agreement. You agree that we may also charge processing fees and other Fees listed in the Master Fee Schedule referenced below, which will result in profit to Us and Our agents.

You further agree to pay Us a documentation fee as listed on page one of this agreement on the date the first payment is due, to cover the expense of documenting the transaction. If You fail to make any payment of taxes (including personal property tax, fines, and penalties) or do any act required, We shall have the right, but not the obligation, and without releasing You of any obligation hereunder and without waiving Your default, to make or do the same and to pay, purchase, contest, or compromise any encumbrance, charge or lien which in the judgment of Us appears to affect the Equipment, and in exercising such rights, incur any liability and expend whatever amounts in Our absolute discretion We may deem necessary therefore. All sums so incurred or expended by Us shall be without demand immediately due and payable by You and shall bear interest at the default rate as provided herein.

For purposes of this Agreement, the term “Master Fee Schedule” (hereinafter the “MFS”) means the written schedule of fees, charges, premiums, costs and other amounts (including but not limited to late fees, default fees, wire fees, courier fees, lien/search fees, reinstatement fees, and inspection fees) (collectively, the “Fees”) maintained by Secured Party, as the same may be amended, restated or replaced from time to time.

The current MFS is located at: https://centrafunding.com/current-fee-schedule/ (the “Website”) and is available for inspection by Debtor as well as upon request to Secured Party. Debtor hereby acknowledges receipt of a copy of the MFS effective as of the date hereof and agrees that the MFS is incorporated into and made part of this Agreement by reference.

All Fees set forth in the MFS are fees, charges and amounts payable by Debtor under this Agreement. Debtor’s obligation to pay Fees under the MFS is independent, and in addition to, any other obligations of Debtor under this Agreement. Failure by Debtor to pay any amount due under the MFS when due shall constitute an Event of Default under this Agreement and shall entitle Secured Party to exercise any and all rights and remedies provided in this Agreement or by applicable law.

Secured Party may amend, restate or replace the MFS from time to time. Any such amendment shall become effective as of the effective date specified by Secured Party in the notice of amendment, which date may be immediate. Notwithstanding the foregoing, any amendment shall be subject to applicable law and shall not be applied retroactively to invalidate payments previously made in good faith.

Secured Party will give Debtor notice of any amendment to the MFS by posting the amended MFS on the Website and by providing notice to Debtor at the contact information for notices set forth in this Agreement (which may include email). Delivery of notice shall be effective in accordance Section 15 of this Agreement.

To the extent any provision of the MFS conflicts with this Agreement, the provision that is more specific to the subject matter shall control. Notwithstanding the foregoing, nothing in this Section shall be construed to limit Secured Party’s right to require payment of Fees described in the MFS.

Debtor represents and warrants that Debtor has received, reviewed and understands the current MFS and that Debtor has had a reasonable opportunity to ask questions and obtain clarification regarding all fees and charges set forth therein. Debtor waives any claim that the MFS was not provided prior to execution of this Agreement to the extent Debtor has actually received the MFS.

If any fee set forth in the MFS is finally determined by a court or other competent authority to be unenforceable under applicable law, such fee will be deemed severed from the MFS and this Agreement and all other fees and provisions shall remain in full force and effect. The obligations of Debtor to pay fees under the MFS and the other provisions of this Section shall survive termination of this Agreement.
